Amadoo Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern the use of the Amadoo platform (“Amadoo”, “we”, “our”, “us”) by childcare providers, nurseries, preschools, childminders, staff members, parents, and authorised users (“Customer”, “you”, “your”).
By accessing or using Amadoo, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use the platform.
2. About Amadoo
Amadoo is a nursery management platform designed to support childcare providers with:
- Child records and administration
- Attendance management
- Observations and learning journeys
- Parent communication
- Staff management
- Invoicing and payments
- Funding administration
- Reporting and compliance tools
- AI-powered assistance through Ami
Amadoo may update, improve, or modify features at any time.
3. Eligibility
You must:
- Be at least 16 years old
- Have authority to enter into these Terms on behalf of your organisation
- Provide accurate information when creating an account
- Maintain the security of your login credentials
You are responsible for all activity that occurs under your account.
4. Subscription and Fees
Certain features of Amadoo require a paid subscription.
Subscription fees are displayed before purchase and may be updated from time to time.
Unless otherwise agreed:
- Fees are billed monthly in advance
- Fees are non-refundable
- Failure to pay may result in suspension or termination of services
- Promotional pricing, pilot pricing, or founding member pricing may be subject to separate agreements
Any applicable taxes will be added where required by law.
5. Free Trials and Pilot Programmes
Amadoo may offer free trials, pilot programmes, or promotional access.
We reserve the right to:
- Modify trial terms
- End a trial early
- Restrict features during a trial
- Require subscription payment following trial completion
6. Customer Data
The Customer retains ownership of all data uploaded to Amadoo.
This includes:
- Child information
- Parent information
- Staff records
- Observations
- Assessments
- Communications
- Documents and files
Amadoo does not claim ownership of Customer Data.
The Customer is solely responsible for ensuring that data entered into Amadoo is lawful, accurate, and collected with appropriate consent where required.
7. Data Protection
Where personal data is processed through Amadoo:
- The Customer acts as the Data Controller
- Amadoo acts as the Data Processor
Amadoo will process personal data in accordance with:
- UK GDPR
- Data Protection Act 2018
- Applicable data protection laws

8. AI Features (Ami)
Amadoo provides AI-powered assistance through Ami.
Ami may assist with:
- Observation drafting
- Report generation
- Message drafting
- Administrative tasks
- Educational suggestions
AI-generated content is provided for assistance only.
The Customer remains solely responsible for:
- Reviewing outputs
- Verifying accuracy
- Ensuring compliance with safeguarding and regulatory requirements
- Making final decisions based on generated content
Amadoo does not guarantee the accuracy, completeness, or suitability of AI-generated content.
9. Acceptable Use
You agree not to:
- Use Amadoo unlawfully
- Upload malicious software
- Attempt unauthorised access
- Interfere with platform security
- Circumvent platform restrictions
- Reverse engineer the platform
- Use the platform to transmit harmful, offensive, or unlawful content
We may suspend accounts that breach these Terms.
10. Availability and Service Levels
We aim to provide reliable access to Amadoo but do not guarantee uninterrupted availability.
Scheduled maintenance, upgrades, technical issues, or circumstances beyond our control may occasionally affect access.
Amadoo shall not be liable for losses resulting from temporary outages or interruptions.
11. Third-Party Services
Amadoo may integrate with third-party providers including:
- Stripe
- Supabase
- Email providers
- Analytics services
- Cloud infrastructure providers
Use of third-party services may also be subject to their own terms and policies.
Amadoo is not responsible for the actions or services of third-party providers.
12. Intellectual Property
All intellectual property rights in Amadoo remain the property of Amadoo or its licensors.
This includes:
- Software
- Branding
- Logos
- Design elements
- Documentation
- AI systems
- Platform functionality
Customers receive a limited, non-exclusive, non-transferable licence to use the platform during an active subscription.
13. Confidentiality
Both parties agree to keep confidential information secure and not disclose it to unauthorised third parties except where required by law.
This obligation survives termination of these Terms.
14. Limitation of Liability
To the maximum extent permitted by law:
Amadoo shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of business
- Loss of goodwill
- Indirect or consequential losses
Amadoo's total liability arising from use of the platform shall not exceed the total subscription fees paid by the Customer during the preceding 12 months.
Nothing in these Terms limits liability where liability cannot legally be excluded.
15. Suspension and Termination
We may suspend or terminate access if:
- Subscription fees remain unpaid
- These Terms are breached
- Platform security is threatened
- Required by law
Customers may cancel their subscription at any time.
Upon termination:
- Access may be removed
- Customer data may be retained only as required by law or for legitimate business purposes
- Data deletion procedures will follow our Privacy Policy and Data Processing Agreement
16. Changes to These Terms
We may update these Terms from time to time.
Material changes will be communicated through the platform or via email.
Continued use of Amadoo after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
